These Terms and Conditions (“Terms”) govern your access to and use of the website, online learning platform, digital content, and related services (collectively, the “Services”) offered by or on behalf of CloneMastery (“we”, “us”, or “our”). By registering for an account, purchasing access, enrolling in a course, or otherwise using the Services, you (“you” or “Customer”) agree to be bound by these Terms, our Privacy Policy, Cancellation and Refund Policy, and Shipping Policy.
If you do not agree, you must not use the Services. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
1. Eligibility
- You must be at least eighteen (18) years old, or the age of majority in your jurisdiction.
- You are responsible for ensuring that your use of the Services complies with applicable laws in Malaysia and any jurisdiction from which you access the Services.
2. Nature of the Services
The Services comprise online educational programmes, streamed or downloadable digital lessons, supplementary materials, and access to designated learning environments. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the purchased content solely for your personal learning and lawful business training purposes in accordance with these Terms.
- Unless expressly stated otherwise, licences are granted to the individual named purchaser or team seat holder and may not be resold or shared outside any permitted licence scope.
- We may update formats, interfaces, tooling references, hosting locations, or third-party integrations required to deliver the Services, provided the overall learning objectives remain substantially equivalent unless we notify you of a material adverse change.
3. Accounts, security and conduct
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your credentials and must notify us promptly of any unauthorised access.
- You must not circumvent access controls; scrape or mass-download restricted materials; impersonate others; unlawfully misuse personal data you obtain through coursework; interfere with infrastructure; distribute malware; or harass staff, instructors, or other learners.
4. Intellectual property
All trademarks, logos, video materials, workbooks, software interfaces, curricula, transcripts, artwork, prompts, layouts, assessments, assessments keys, datasets we license to you inside the programme, and other proprietary content (“CloneMastery Content”) are owned by us or our licensors. Except for the licence in Section 2, no rights are granted to you by implication or otherwise.
- You may not copy beyond fair personal note-taking under applicable law; publish or sell our core course materials publicly; sublicense; perform for a fee using our standalone materials alone; or remove copyright or proprietary notices.
- Where exercises invite you to adapt generic templates using your own information, outputs you originate using your lawful inputs remain yours, excluding any reusable CloneMastery Content incorporated into exercises.
5. Payments, pricing, and taxes
- Fees are quoted in Malaysian Ringgit (MYR) unless expressly stated otherwise on the checkout page.
- Prices exclude applicable statutory taxes unless stated as inclusive.
- You authorise us and third-party processors to charge the payment method you provide for authorised transactions.
- Failed payments may result in suspension of access until the balance is cured.
6. No professional or outcome guarantee
Educational content provided through the Services is general in nature. We do not provide legal, financial, tax, employment agency, brokerage, or regulated advisory services unless separately agreed in writing. Completion of coursework does not guarantee specific business results, income, placements, or certification by any third-party body unless we expressly state accreditation in writing.
7. Third-party tools and links
Lessons may demonstrate third-party SaaS platforms, APIs, browsers, marketplace policies, AI model providers, or payment gateways. Those services are governed by their own terms and privacy policies, availability, jurisdictions, billing, and moderation rules. Your relationship with suppliers is strictly between you and those suppliers unless we expressly resell licences to you with written scope.
8. Privacy and data protection
Our processing of personal data connected with the Services is described in our Privacy Policy and accords where applicable with the Malaysian Personal Data Protection Act 2010 (“PDPA”).
9. Suspension and termination
- We may suspend or terminate access immediately if we reasonably suspect fraud, abusive conduct, breaches of Sections 3–4 or payment defaults, lawful orders, or catastrophic security risk.
- On termination not caused by uncured breaches by us, licences granted cease except as required by law.
10. Disclaimer and limitation of liability
- To the fullest extent permitted by Malaysian law, the Services are supplied on an “as is” and “as available” basis without warranties or conditions (express or implied) other than mandatory consumer guarantees that cannot legally be excluded. We exclude liability for interruptions by third-party infrastructure, unauthorised access despite reasonable safeguards, inaccuracies in illustrative third-party demos, evolving AI tooling outputs beyond our reasonable editorial control subject to lawful minimums regarding digital content conformity.
- Subject to Sections 11–12, our aggregate liability arising out of or in connection with these Terms and the Services in any twelve‑month rolling period shall not exceed the total fees paid by you to us solely for Services during that twelve months; and we disclaim indirect or consequential losses to the extent permissible.
11. Consumer safeguards (Malaysia)
Nothing in these Terms restricts non-excludable rights you may have under applicable Malaysian consumer-protection law (including the Consumer Protection Act 1999 and related subsidiary legislation as amended), competent tribunal directions, mandatory personal data safeguards under the PDPA where they apply as a consumer, or other binding instruments that override unfair contract terms notwithstanding anything else written here. Where exclusions or caps are not permitted by law, statutory remedies and mandatory minima prevail over Section 10.
12. Mandatory carve-outs where liability caps cannot operate
If any limitation is held unenforceable, our liability arising from death or personal injury caused by our negligence or wilful misconduct, fraud, breaches of compulsory consumer guarantees expressly non-waivable, or breaches of lawful personal data safeguards required by Malaysian law persists to the minimum extent permitted.
13. Indemnity
You indemnify and hold harmless CloneMastery, its directors, instructors, affiliates, processors, and personnel harmless from losses, liabilities, fines, disputes, defence costs reasonably incurred, arising from your wrongful use (including unauthorised commercial republication beyond licence), breaches of laws, negligent handling of learner inputs that include third-party rights, abusive communications, unlawful deep-fake likeness usage of others absent consent, infringement except as finally adjudicated adversely to us excluding wilful concealment—subject always to Sections 11–12 and governing law carve-outs prohibiting unfair indemnification.
14. Force majeure
We shall not be in breach due to delays or failures beyond reasonable control—including natural disasters, war, riots, sabotage of global networks, outages of essential cloud regions, lawful blocking orders—as long as commercially reasonable contingency planning is exercised.
15. Industry compliance (regulated professions)
If your work is regulated in Malaysia (including as a real-estate negotiator, advertiser of property, or related role), you remain solely responsible for complying with licensing, advertising, rebate disclosure, anti-money laundering where applicable, strata and tenancy rules, digital publication norms, and any other obligations imposed by the competent Malaysian authorities from time to time. Our Courses provide general skills training only and are not a substitute for legal, compliance, or professional advice tailored to your situation.
16. Dispute resolution
- Parties shall first endeavour to resolve disputes in good faith by written notice referencing these Terms.
- In Malaysia, unresolved consumer disputes arising under applicable consumer-protection legislation may also be lodged with Malaysian Consumer Tribunal or Domestic Trade tribunal routes where jurisdiction exists under their instruments—without prejudice to any mandatory timelines.
- Otherwise disputes shall be adjudicated exclusively in Malaysian courts exercising jurisdiction competent for the claim, generally courts of Malaysia geographically linked to Kuala Lumpur absent mandatory forum rules.
17. Miscellaneous
- These Terms, together with the Privacy Policy, cancellation policy, order-specific checkout terms, constitute the entire agreement on their subject superseding prior contradictory marketing statements not expressly reiterated in writing after payment.
- Assignment by you requires our consent; lawful corporate reorganisation internal assignment by us is permitted.
- No waiver delays future enforcement unless written.
- If a clause is unlawful, surviving clauses remain operative.
- Headings simplify reading only.
- English executes legal primacy texts; supplementary translations informational only where provided.
